Your Agreement with Review Pulse

These Terms and Conditions outline the rules and guidelines for using Review Pulse services and website. By accessing our services, you agree to comply with these terms, ensuring a clear and fair experience for all users.

Terms & Conditions

1. Nature of Services and Educational Disclaimer

All products and services provided by Review Pulse (ABN 29 8961 99335) are designed to provide technical infrastructure, marketing automation, and informational guidance for business purposes. While we provide high-quality systems, no information or tool should be interpreted as a guarantee of specific financial outcomes or business results. Your success depends on various factors, including market conditions and your own business execution.

2. Statutory Consumer Guarantees (Mandatory ACL Clause)

Our goods and services come with guarantees that cannot be excluded under the Australian Consumer Law. For major failures with the service, you are entitled:

To cancel your service contract with us; and

To a refund for the unused portion, or to compensation for its reduced value.

You are also entitled to choose a refund or replacement for major failures with goods. If a failure with the goods or a service does not amount to a major failure, you are entitled to have the failure rectified in a reasonable time. If this is not done you are entitled to a refund for the goods and to cancel the contract for the service and obtain a refund of any unused portion. You are also entitled to be compensated for any other reasonably foreseeable loss or damage from a failure in the goods or service.

3. Our Agreement to Limit Liability (B2B Clear Terms)

(a) Acknowledgment of Rights: We acknowledge that you have rights under the Australian Consumer Law (ACL) that cannot be signed away.

(b) Limitation of Liability: Because this is a business-to-business agreement for services valued under $100,000, we both agree to limit our liability as permitted by Section 64A of the ACL. This means that if our service fails to meet a consumer guarantee, our total responsibility to you is limited (at our sole discretion) to:

Fixing the issue by supplying the services to you again; or

Paying the cost of having the services supplied to you again.

(c) No Liability for Business Losses: To the maximum extent permitted by law, Review Pulse is not responsible for your indirect or consequential losses, such as lost profits, lost revenue, lost data, or business interruption, even if those losses were foreseeable. Our financial responsibility is limited strictly to the "Fix it or Resupply" options listed above.

4. Subscriptions, Payments, and Rebilling

Authorisation: By subscribing, you authorise us to charge your payment method for recurring monthly/annual fees and automated usage-based "wallet" top-ups.

Usage Charges: Features such as AI Review Replies, SMS, and Email incur per-unit charges billed to your "wallet." These are "Consumed Services" and are non-refundable once the action (e.g., an AI reply) is performed.

Failed Payments: If a payment fails, you have 7 days to provide a valid method. Failure to do so will result in automated suspension of all services (websites, AI, ordering, etc.) within 48 hours.

Price Variations: We may vary subscription fees by providing 30 days’ written notice via email.

5. Intellectual Property and Licensing

Ownership: All website designs, proprietary automations, "Snapshots," and code remain the exclusive property of Review Pulse and its licensors.

Client Content: You retain ownership of original text, logos, and images provided by you.

License: You are granted a limited, non-transferable license to use our systems during your active subscription. Upon termination, this license expires. You may request to export your raw Customer Data, but proprietary system architecture cannot be transferred.

6. Cancellations and Satisfaction Guarantee

30-Day Guarantee: If you are unsatisfied within the first 30 days of your initial purchase, you may request a full refund.

Monthly Cancellation: You may cancel at any time via 14 days’ written notice before your next billing date. Services continue until the end of the current paid period.

Annual Plans: Annual plans are non-refundable after the initial 30 days. Notice must be given 14 days prior to the renewal date to prevent automatic billing.

7. Third-Party Services

Our platform integrates with third-party providers. We are not liable for outages, API changes, or data breaches caused by these providers. Marketing systems that rely on these services are subject to those providers’ functional limitations and uptime policies.

8. Personal Responsibility and Compliance

You are responsible for your own business decisions and for ensuring your use of our SMS, Email, and Loyalty tools complies with the Spam Act 2003 (Cth) and the Privacy Act 1988 (Cth). You must ensure you have explicit consent to message your customers.

9. Amendments to Terms

We reserve the right to update these terms to reflect changes in our services or legal requirements.

Material Changes: For changes that significantly disadvantage you (e.g., price increases), we will provide 30 days’ written notice via email. If you do not agree, you may cancel your service without penalty within that 30-day period.

Minor Changes: Non-material updates will be published at https://reviewpulse.com.au/terms-and-conditions.

10. Governing Law and Disputes

These terms are governed by the laws of Queensland, Australia. Any disputes must first be submitted to good-faith mediation in Queensland before proceeding to the exclusive jurisdiction of the Queensland courts.
